This is an Assignment and Novation Agreement form to be used by one business acquring another businesss debts (usually in the course of a merger, acquisition, or real estate purchase). It is three pages, and includes all proper provisions. It is a form used by a large law firm for such transactions. It must be signed by the assignor (current debtor), assignee (new debtor), and creditor. Copies of paperwork for debts being assigned must be attached in the Exhibit section.
